Incoterms, short for International Commercial Terms, are a set of standardized trade terms published by the International Chamber of Commerce (ICC). They are widely used in international sales contracts to define the responsibilities of buyers and sellers. Their main purpose is to reduce misunderstandings by clearly allocating costs, risks, and tasks related to the delivery of goods.One of the most important functions of Incoterms is to determine when the risk transfers from the seller to the buyer. In international trade, goods often pass through several stages, including packing, inland transport, export clearance, main carriage, import clearance, and final delivery. Without a clear framework, disputes can easily arise over who is responsible for each stage. Incoterms help avoid such disputes by specifying which party must arrange and pay for transport, insurance, customs procedures, loading, and unloading.There are several commonly used Incoterms, each with different obligations. For example, under EXW, the seller makes the goods available at their premises, and the buyer takes on most of the transport responsibilities. Under FOB, the seller delivers the goods on board the vessel, and risk passes once the goods are loaded. Under CIF, the seller pays for the cost of transport and insurance to the destination port, although the risk transfers earlier, usually at the point of loading. Under DDP, the seller assumes the greatest responsibility, delivering the goods ready for unloading at the buyer’s location and handling most import formalities.Incoterms are divided into two main groups: those applicable to any mode of transport and those intended specifically for sea and inland waterway transport. Terms such as FCA, CPT, CIP, DAP, DPU, and DDP can be used for all modes of transport, while FOB, FAS, and CIF are mainly for maritime trade. Choosing the correct term is important because using the wrong one may create confusion or legal complications.Another key aspect of Incoterms is their influence on pricing. A sales price under one term may look higher or lower than under another because the included costs differ. For this reason, traders must always state the exact Incoterm rule and the named place or port, such as “CIF Singapore” or “DAP Hamburg,” to ensure clarity.Overall, Incoterms are an essential tool in global trade. They provide a common language for international business, improve efficiency, and reduce the risk of costly misunderstandings. By understanding and applying them correctly, buyers and sellers can conduct transactions with greater confidence and transparency.
