private label means you buy a supplier's existing product and put your brand on it. Oem (Original Equipment Manufacturer) means the factory builds to your design and specification. ODM (Original Design Manufacturer) means the factory already owns a design and adapts it for you — its engineering, your branding and some modifications. Cost, control, tooling investment, and speed to market change substantially between the three.
Most importers use the wrong term in their first supplier email, which sets the wrong expectation about price and lead time from the start. Getting the vocabulary right saves a lot of wasted back and forth.
The factory has a finished product in its catalogue. You order it, they print your logo on the product and packaging, and ship. You are not changing the product itself beyond cosmetic branding.
Lowest MOQ, often 300–1,000 units
No tooling cost, no engineering fees
Fastest to market: samples in days, production in 20–35 days
Zero design ownership. Your competitor can order the identical item next week
Best for: testing a market, filling out a range, low-differentiation categories
You bring the design — drawings, CAD files, materials, tolerances, finish — and the factory manufactures to it. The intellectual property is yours. The factory is a contract manufacturer.
Higher MOQ, commonly 1,000–5,000 units, sometimes far more for injection-moulded goods
Tooling and moulds are a real cost: roughly USD 2,000–20,000 depending on part complexity, as of mid-2026
Slower: 4–8 weeks for tooling plus sampling rounds, then 30–60 days production
You own the design and, if the contract says so, the tooling
Best for: genuine product differentiation, patented features, established brands
The factory has already engineered a platform product. You select it and specify changes: different housing colour, a different battery capacity, your own firmware skin, your packaging. The factory keeps the underlying design rights.
Middle MOQ, often 500–3,000 units
Modest modification fees rather than full tooling cost, though a new housing mould can still run USD 3,000–10,000
Faster than OEM because engineering is done: typically 30–50 days total
Shared or factory-owned IP. Read the contract carefully
Best for: electronics, appliances, anything where reinventing the internals adds no value
The honest answer for most first-time importers is: start with private label, move to ODM once you have sales data, go OEM only when a specific design advantage justifies the tooling.
Ask these questions in order.
Does my product need to be different to sell? If customers buy on price and availability, OEM tooling money is wasted. If they buy on a feature nobody else has, you need OEM.
Can I forecast volume? OEM tooling only amortises over volume. A USD 12,000 mould across 2,000 units adds USD 6 per unit. Across 50,000 units it adds USD 0.24.
How much engineering can I actually supply? OEM without proper drawings, tolerances, and a bill of materials is not OEM. It is you paying OEM prices for ODM work while the factory guesses at your intent.
How fast do I need to be in market? Seasonal or trend-driven products rarely survive a six-month OEM cycle.
What happens if the factory relationship ends? With OEM and owned tooling, you can move production. With ODM, you often cannot. With private label, you can find a similar product elsewhere but you lose nothing either.
The model determines which clauses you cannot skip.
For OEM: - Explicit statement that all designs, drawings, moulds, and tooling belong to the buyer, and that tooling will be released on request - Prohibition on selling products made with your tooling to anyone else - NNN agreement (non-disclosure, non-use, non-circumvention) governed by Chinese law and enforceable in a Chinese court — a US or EU-law NDA is often practically useless against a Chinese factory - Tooling storage, maintenance, and end-of-life terms
For ODM: - Clear list of what is customised and what is shared platform - Exclusivity terms: territory, duration, and product scope. Ask directly whether the identical modified version can be sold to another buyer in your market - Who owns the firmware, artwork, and packaging design you paid to develop - What happens to your customisation if the factory discontinues the platform
For private label: - Confirmation that the base product will not change specification without notice. Silent component swaps are the most common private-label complaint - Approved sample retained and sealed by both parties as the quality reference - Your logo files used only on your goods
Across all three models, a written specification is what the factory floor actually works from. Verbal agreements and WeChat screenshots do not survive a staff change on the supplier side, which is why disciplined China Sourcing always starts with documents rather than conversations.
Calling it OEM when you mean private label. Factories quote higher and ask for drawings you do not have. It stalls the conversation for weeks.
Paying for a mould without a written tooling ownership clause. Extremely common. The invoice says "mould fee" and the contract says nothing, so the factory keeps it.
Assuming ODM exclusivity is implied. It never is. If it is not written with a territory and a date, you do not have it.
Skipping the golden sample. Whatever the model, you need one approved, sealed, dated physical sample per party, referenced in the PO. This is the single cheapest quality control step available.
Choosing OEM for ego reasons. "We want our own design" costs money that a growing brand often needs elsewhere. Differentiation through packaging, service, and positioning is far cheaper than differentiation through tooling.
Ignoring certification cost differences. A private-label product often comes with existing CE, FCC, or UL test reports. An OEM product needs its own testing, which can run USD 1,500–8,000 per market depending on category.
The pattern that works for most growing importers looks like this:
Validate with private label. Small MOQ, fast, low cash risk. Learn whether the category sells.
Differentiate with ODM. Once you know what customers complain about, modify a platform product to fix it. Moderate cost, real improvement.
Commit with OEM. When your volume justifies tooling and you have a genuine design idea worth protecting, bring it in-house and own the IP.
Each step raises cost and control together. Skipping straight to step three with an unproven product is how importers end up with USD 15,000 of tooling for a product that sells 400 units. Whichever route you take, factory selection matters more than the model label — a good ODM partner beats a mediocre OEM contract manufacturer every time.
What is the difference between OEM and ODM?
With OEM, you supply the design and the factory manufactures it, so you own the intellectual property. With ODM, the factory supplies an existing design that it modifies for you, and the factory usually retains ownership of the underlying design.
